Terms of Service — BSEG IT Solutions

These Terms of Service ("Terms") govern your use of https://bsegitsolutions.com and its pages and forms (the "Site"), operated by BSEG IT Solutions LLC, a Florida limited liability company ("BSEG," "we," "us," or "our"). By using the Site, you agree to these Terms. If you don't agree, please don't use the Site.

1. Who May Use the Site

The Site is meant for businesses and adults. You must be at least 18 years old to submit a form or a review. If you use the Site on behalf of a business, you confirm that you're authorized to act for that business.

2. Use of the Site

You may use the Site to learn about our services, request a quote, contact us, and leave a review. You agree not to:

break any law or anyone else's rights while using the Site;
submit false, misleading, or someone else's information;
send spam, malware, or automated or bulk submissions;
try to gain unauthorized access to the Site, our systems, or other users' information, or test, probe, or scan for vulnerabilities without our written permission;
interfere with how the Site works or put an unreasonable load on it; or
copy, scrape, or reuse Site content except as these Terms allow.

We may limit or block access to the Site for anyone who violates these Terms.

3. Information, Pricing, and Estimates

3.1 General information only. Site content, including articles, tips, and descriptions of services, is general information. It is not technical, security, legal, or compliance advice for your particular situation.

3.2 Prices are estimates. Any prices on the Site (for example, "Managed IT from $125 per user per month"), and any figures from a quote form or calculator, are estimates for planning purposes only. They are not binding offers and do not create a contract. Actual pricing depends on your environment, number of users and devices, service level, and other factors, and is set only in a written quote after a walkthrough.

3.3 Free Discovery and free IT Check-Up. Our free Discovery and free IT Check-Up are no-cost, no-obligation walkthroughs and conversations meant to understand your needs. No technical work is performed during them. We will not change your systems, install anything, or access your accounts as part of these visits, and they create no service relationship, warranty, or duty to monitor or protect your systems. Any observations we share are informal and based on a limited look. We may decline or reschedule a visit at our discretion.

3.4 Paid services. All paid services are governed only by a separate written service agreement (such as a master services agreement and statement of work) signed by you and BSEG. If that agreement conflicts with these Terms, the signed agreement controls for those services. These Terms do not by themselves obligate us to provide any services.

4. Form Submissions and Consent to Contact

4.1 What you send us. When you submit a quote, contact, or review form, you agree that the information you provide is accurate and that you have the right to share it. Please don't submit passwords, credentials, payment card numbers, health information, or other sensitive data through the Site's forms.

4.2 Consent to be contacted. By submitting a form, you agree that BSEG may contact you by email and phone, at the contact information you provide, about your request and related services. You may opt out of marketing messages at any time by replying "unsubscribe" or emailing us. We may still contact you about an active request or service.

4.3 Form processing. Our forms are processed through a third-party hosting provider (currently Netlify). Our handling of your information is described in our Privacy Policy.

5. Reviews and User Content

5.1 Your content. "User Content" means reviews, ratings, comments, names, business names, and anything else you submit for possible display on the Site.

5.2 License to us. You keep ownership of your User Content. By submitting it, you give BSEG a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, display, edit for length or clarity (without changing its meaning), and share it on the Site and in BSEG's marketing materials and social media, along with the name or business name you provide. If you'd like a published review removed later, email us and we'll take it down from the Site within a reasonable time.

5.3 Your promises. You confirm that your review reflects your genuine experience with BSEG, that you are not being paid or rewarded for it without disclosing that, and that it does not include anyone else's private information, defamatory statements, or content you don't have the right to share.

5.4 Moderation. Reviews are published only after we approve them. We may approve, decline, edit for length or clarity, or remove any User Content at our discretion. That includes content that is off-topic, abusive, discriminatory, unlawful, spam, promotional, or that includes personal or security-sensitive information. We do not approve or reject reviews based only on whether they are positive or negative, and we follow the FTC's rules on consumer reviews. We are not responsible for User Content submitted by others.

6. Intellectual Property

The Site and its content, including text, graphics, logos, the BSEG IT Solutions name, and the Site design, are owned by BSEG or its licensors and protected by intellectual property laws. You may view and print pages for your own business evaluation. You may not otherwise copy, modify, distribute, or use our name or logos without our written permission. Third-party names and logos shown on the Site (for example, software vendors) belong to their owners, and showing them does not imply endorsement.

7. Third-Party Links and Services

The Site may link to or use third-party websites and services, such as review platforms, maps, scheduling tools, or vendor sites. We do not control them and are not responsible for their content, policies, or practices. Your use of them is governed by their own terms.

8. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, BSEG DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY INFORMATION ON IT WILL MEET YOUR NEEDS OR PREVENT ANY SECURITY INCIDENT. Any warranties for paid services appear only in a signed service agreement.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BSEG AND ITS OWNER, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, ANY ESTIMATE, OR ANY FREE DISCOVERY OR IT CHECK-UP, EVEN IF WE WERE TOLD THESE DAMAGES WERE POSSIBLE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Some laws do not allow certain limitations, so some of these may not apply to you. Liability for paid services is governed only by the signed service agreement.

10. Indemnity

You agree to defend, indemnify, and hold harmless BSEG and its owner, employees, and agents from any claims, losses, damages, and expenses (including reasonable attorneys' fees) arising from your User Content, your misuse of the Site, or your violation of these Terms or of anyone else's rights.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.

Any dispute arising from these Terms or the Site will be brought only in the state or federal courts located in Lee County, Florida, and you and BSEG consent to their jurisdiction and venue. Either party may bring an eligible claim in small claims court.

Any claim related to the Site must be brought within one (1) year after it arises.

12. Changes to These Terms or the Site

We may update these Terms from time to time. When we do, we'll post the new version here and update the effective date. Continuing to use the Site after a change means you accept the updated Terms. We may change, suspend, or discontinue any part of the Site at any time.

13. General

If any part of these Terms is found unenforceable, the rest stays in effect. If we don't enforce a provision, that isn't a waiver of it. You may not assign these Terms; we may assign them in connection with a sale or reorganization of our business. These Terms, along with our Privacy Policy, are the entire agreement between you and BSEG about the Site.
